Terms of Service
Welcome to Sovereign 21 Consulting. Sovereign 21 Consulting Limited (“Sovereign 21”, “we”, “us”, or “our”) owns and operates the website located at sov21.com (the “Website” and collectively with any connected software or other products, the “Site”).  

By accessing or using the Sovereign 21 Service (the “Service”) made available through our Site or through consultations booked via phone or Zoom, you agree to be bound by these Terms of Service (“Terms”). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, clients, and others who access or use the Service. If you do not agree to these Terms, do not access or use the Service. Your access and use of the Service is also conditioned on your acceptance of our Privacy Policy.  

WE ARE NOT RESPONSIBLE FOR ANY LOSSES, HARM, OR LIABILITIES INCURRED AS A RESULT OF USING OUR SERVICE. YOU ACCEPT ALL LIABILITY RESULTING FROM YOUR FINANCIAL DECISIONS.  

Summary
Sovereign 21 Consulting provides strategic and educational guidance on Bitcoin treasury management for corporate clients, delivered through phone or Zoom consultations and invoiced services. Our services include consulting on custody solutions, tax structuring, and compliance strategies, but do not constitute financial or investment advice.  

Your access and use of Sovereign 21 is for educational and strategic purposes only. Sovereign 21 does not provide investment or financial advice. Nothing contained herein constitutes an offer or solicitation to buy or sell any financial products. You are responsible for your own due diligence, financial decisions, and consulting licensed professionals as needed.  

The information we provide, including but not limited to Bitcoin, custody, exchanges, or other, may not be accurate or complete, and you should not rely on it as such. You use all information at your own risk.  

You may not copy or remarket Sovereign 21 content or information. You will only use the Service in compliance with all applicable laws. We are not responsible for your use of the Service in any way that violates the law.  

No Offer or Investment Advice
You acknowledge that your access and use of Sovereign 21, whether through the Site or consultations, is for strategic and educational purposes only. Nothing contained herein constitutes an offer, solicitation, or recommendation to buy or sell any financial products, including Bitcoin or other assets, or to adopt any investment strategy. Our services do not constitute financial, investment, or securities advice. The information provided is intended to assist corporate clients in executing Bitcoin treasury strategies and does not account for the specific objectives or needs of any person or entity. You should determine for yourself, or through licensed professionals, whether any service or strategy is suitable for your needs.  
Any reference to Bitcoin, custody solutions, exchanges, or tax strategies is for informational purposes only and does not constitute an endorsement or recommendation by Sovereign 21.  

The Service is not directed to any person or entity in any jurisdiction where the publication or availability of the Service is prohibited. Persons subject to such prohibitions must not access the Service.  

Service Partners
We may connect clients with third-party providers (e.g., custody platforms, accounting firms) for their Bitcoin treasury needs. Such services are subject to the providers’ terms, and Sovereign 21 makes no representations or warranties regarding these providers. No inference should be made about their capabilities based on our connections.  

Payment and Invoicing
Services are booked via phone or Zoom consultations. Fees are collected through invoicing, as agreed with clients. All payments are in Hong Kong Dollars (HKD) unless otherwise specified. Clients are responsible for timely payment per invoice terms.  

Prohibited Activities
You agree not to:  
  • Copy or remarket Sovereign 21 content or information.  
  • Use the Service for illegal or unauthorized purposes, or violate any applicable laws, including copyright or securities laws. 
     Encourage or facilitate violations of these Terms.
  • Use automated systems (e.g., bots, scrapers) to access or extract data from the Service.  
  • Impersonate any person or entity or misrepresent your affiliation.
  • Modify or falsely imply association with the Service.  
  • Reverse engineer any aspect of the Service.  
  • Send or store harmful code (e.g., viruses, malware) or disrupt the Service’s integrity.  
  • Infringe any intellectual property rights.
Violation of these Terms may result in termination of your access to the Service, at our sole discretion, if you create risk or legal exposure for Sovereign 21.  

Intellectual Property
Sovereign 21 owns all rights, title, and interest in the Site and its content, including text, images, software, and design. You may not reproduce, distribute, modify, or exploit any Site content except as permitted through these Terms. Any derivative works remain owned by Sovereign 21.  
The Service is protected by copyright, trademark, and other Hong Kong and international laws. Our trademarks may not be used without prior written consent.  

Your Feedback
You assign all rights in feedback you provide to Sovereign 21. If such assignment is ineffective, you grant us a perpetual, royalty-free, worldwide license to use, reproduce, and exploit such feedback without restriction.  

Links to Third-Party Websites
The Service may link to third-party websites or services not controlled by Sovereign 21. We are not responsible for their content, privacy policies, or practices. You use such websites at your own risk and should review their terms and policies.  

Termination
We may terminate or suspend your access to the Service without notice or liability for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases. You may terminate your engagement by discontinuing use.  

Limitation of Liability
To the maximum extent permitted by law, Sovereign 21 and its affiliates, employees, or suppliers shall not be liable for any special, incidental, indirect, or consequential damages (e.g., loss of profits, data, or business interruption) arising from the use or inability to use the Service, even if advised of such damages. Our liability is limited to the amount you paid through the Service, or HKD 780 if no payment was made.  
Some jurisdictions may not allow these limitations, in which case they apply to the greatest extent permitted.  

“AS IS” and “AS AVAILABLE” Disclaimer
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the Service will meet your requirements, be uninterrupted, error-free, or free of harmful components.  
Some jurisdictions may not allow these exclusions, in which case they apply to the greatest extent enforceable.  

Governing Law
These Terms are governed by the laws of Hong Kong, without regard to conflict of law rules.  

Indemnification
You agree to indemnify, defend, and hold harmless Sovereign 21, its employees, affiliates, and suppliers from any claims, damages, costs, or liabilities (including legal fees) arising from your misuse of the Service, violation of these Terms, or infringement of third-party rights.  

Disputes Resolution
For any dispute related to these Terms or the Service, you agree to first attempt informal resolution by contacting us. If unresolved, disputes will be subject to binding arbitration under Hong Kong’s Arbitration Ordinance (Cap. 609), conducted by the Hong Kong International Arbitration Centre (HKIAC) under its Administered Arbitration Rules. The arbitration will be in Hong Kong, in English, with each party bearing their own costs unless otherwise determined by the arbitrator.  

Class Action Waiver
Disputes will be resolved individually, not as a class action or representative proceeding. You waive any right to participate in or initiate class actions.  

Severability and Waiver
If any provision of these Terms is unenforceable, it will be modified to achieve its objectives to the extent possible, and other provisions remain in effect. Failure to enforce a right does not waive it.  

Changes to These Terms
We may modify these Terms at our discretion. Continued use after changes constitutes acceptance. If you do not agree, stop using the Service.  

Entire Agreement
These Terms constitute the entire agreement between you and Sovereign 21, superseding any prior agreements.
